RETAIL THERAPY AZ
E-COMMERCE MARKETPLACE AGREEMENT
This E-Commerce Marketplace Agreement (“Agreement”) is entered into between Retail Therapy AZ Boutique LLC (“Retail Therapy AZ,” “Company,” “we,” or “our”) and the participating business listed in the Vendor portal registration (“Vendor,” “Seller,” or “Member”).
By registering for and participating in the Retail Therapy AZ online marketplace platform, Vendor acknowledges that they have read, understood, and agree to be legally bound by the terms and conditions of this Agreement.
PLATFORM PURPOSE
Retail Therapy AZ operates an online marketplace platform that allows independent businesses to list and sell products directly to customers through the Retail Therapy AZ website.
Retail Therapy AZ provides the platform, visibility, and marketing opportunities for Vendors. Vendors are fully responsible for operating and managing their own online business activity through the platform.
Participation in the Retail Therapy AZ online marketplace is not limited to businesses currently operating inside a Retail Therapy AZ storefront location. Businesses may participate exclusively in the online marketplace upon approval by Retail Therapy AZ.
INDEPENDENT BUSINESS STATUS
Vendor understands and agrees that they are operating as an independent business and are not an employee, contractor, partner, agent, representative, or joint venture of Retail Therapy AZ.
Vendor is solely responsible for:
• Uploading and maintaining inventory
• Product descriptions and pricing
• Professional product photography
• Inventory accuracy
• Shipping and fulfillment
• Customer service and communication
• Sales tax reporting and payment
• Compliance with all applicable laws
• Product safety and legality
• Returns, refunds, exchanges, and disputes
Retail Therapy AZ does not oversee or manage the daily operation of Vendor businesses.
MEMBERSHIP FEES
Vendor agrees to the following fees:
• One-time activation fee of $25 due upon signup.
Current monthly membership pricing:
• $27/month for active Retail Therapy AZ storefront Vendors.
• $49/month for Vendors participating exclusively in the online marketplace.
Subscription Billing: Membership fees will be automatically billed every 30 days from the Vendor’s original enrollment date. By enrolling in the Retail Therapy AZ E-Commerce Marketplace, Vendor authorizes recurring billing of the applicable membership fee until membership is canceled in accordance with the terms of this Agreement.
All activation fees and membership fees are non-refundable.
Retail Therapy AZ reserves the right to modify membership pricing with thirty (30) days written notice. Continued participation after the effective date constitutes acceptance of the updated pricing.
Failure to pay may result in:
• Immediate account suspension
• Listing removal
• Marketplace access restriction
If reactivation is requested after nonpayment, Retail Therapy AZ may require payment of a new activation fee.
Vendor may cancel participation at any time. No prorated refunds will be issued.
PLATFORM DEVELOPMENT
Vendor understands this is a growing platform that will continue to evolve.
Vendor agrees to participate in good faith while Retail Therapy AZ continues improving the marketplace through software updates, operational improvements, new features, and customer feedback.
Temporary bugs, software updates, maintenance, technical issues, or operational changes may occur.
Vendor agrees to remain respectful and understanding during this development process.
No refunds, credits, or fee reductions will be issued due to software updates, temporary interruptions, feature development, or technical issues.
COMMISSION STRUCTURE
Retail Therapy AZ operates as a flat-rate membership marketplace.
Retail Therapy AZ does not collect commissions on Vendor sales.
Vendor remains responsible for:
• Shipping
• Packaging
• Shipping labels
• Payment processor fees
• Fulfillment costs
• Operational expenses
Vendor determines their own shipping rates.
INVENTORY & LISTINGS
Vendor is solely responsible for uploading and maintaining inventory.
Inventory must:
• Be accurate
• Be available for purchase
• Include professional-quality photos
• Include accurate descriptions
• Include accurate pricing
• Include shipping timelines
• Meet Retail Therapy AZ brand standards
Listing Approval: Vendors are responsible for ensuring all product listings, descriptions, pricing, inventory, and images are accurate prior to submission. All new listings and any edits to existing listings are subject to review and approval by Retail Therapy AZ to ensure quality, consistency, and compliance with marketplace standards. Please allow 24 to 48 business hours for listings or edits to be reviewed and approved. If a listing or edit has not been approved after 48 business hours, Vendor should contact shop@retailtherapyaz.
PROHIBITED PRODUCTS
Retail Therapy AZ maintains a family-friendly marketplace.
The following products are prohibited:
• CBD products
• THC or cannabis-related products
• Hemp-derived consumable products
• Tobacco or nicotine products
• Vape products
• Alcohol
• Firearms
• Ammunition
• Weapon accessories
• Explosives
• Fireworks
• Illegal drugs
• Drug paraphernalia
• Prescription medications
• Products requiring age verification
• Counterfeit products
• Illegal products
• Any product Retail Therapy AZ determines is unsafe or inconsistent with Company values.
Retail Therapy AZ also prohibits listings containing:
• Excessive political messaging
• Hate speech
• Offensive or discriminatory content
• Excessive vulgarity
• Explicit sexual content
• Extreme violence
• Any content Retail Therapy AZ determines inappropriate.
Retail Therapy AZ reserves the right to remove listings or terminate Vendor accounts immediately for policy violations without refund.
SHIPPING & FULFILLMENT
Vendor is solely responsible for fulfillment. Shipping costs will be included in the price listed on products and customers will see "Free Shipping" at checkout. Currently we do not have the logistics in place to have calculated weight based shipping options for customers but that is the plan to eventually have weight based shipping so it's more accurate and easier for everyone involved. We appreciate your understanding.
Retail Therapy AZ will not retrieve inventory from physical store locations for online orders.
Vendor agrees to:
• Ship within promised processing times.
• Provide tracking when applicable.
• Package products safely.
• Communicate professionally with customers.
Retail Therapy AZ is not responsible for:
• Shipping delays
• Lost packages
• Carrier issues
• Damaged shipments
• Inventory shortages
• Fulfillment errors
• Incorrect customer addresses
Failure to fulfill orders may result in suspension or removal. Vendor acknowledges and agrees that payment for completed sales will not be released until the order has been marked as shipped through the Vendor portal, all required shipment information has been submitted, and a valid tracking number has been provided and verified by the marketplace payment processing system, when applicable.
PRODUCT SAFETY
Vendor is solely responsible for ensuring products comply with all applicable laws and safety regulations.
Vendor agrees to immediately notify Retail Therapy AZ if any product becomes subject to a recall, safety concern, or government action.
Retail Therapy AZ may immediately remove affected listings.
CUSTOMER SERVICE
Vendor agrees to maintain professional customer service.
Vendor shall:
• Respond promptly.
• Resolve disputes professionally.
• Represent Retail Therapy AZ positively.
• Operate ethically.
Retail Therapy AZ may suspend or terminate Vendors for repeated customer complaints or poor service.
RETURNS, REFUNDS & DISPUTES
Vendor is solely responsible for:
• Returns
• Refunds
• Exchanges
• Chargebacks
• Customer disputes
Vendor must clearly communicate their return policy.
Retail Therapy AZ may require refunds when reasonably necessary to resolve customer disputes or protect the integrity of the marketplace.
Vendor remains financially responsible for all disputes and associated costs.
CUSTOMER INFORMATION
Customer information may only be used to fulfill marketplace orders and provide customer service.
Vendor may not sell, distribute, or use customer information for unrelated marketing without customer authorization.
FRAUD PREVENTION
Retail Therapy AZ reserves the right to investigate, suspend, delay, or cancel transactions suspected of fraud, abuse, illegal activity, or policy violations.
BRAND STANDARDS & COMMUNITY EXPECTATIONS
Vendor agrees to uphold the professionalism, reputation, and culture of Retail Therapy AZ.
Vendor shall not engage in conduct that materially harms the reputation of Retail Therapy AZ, its employees, Vendors, customers, or business partners.
This includes:
• Harassment
• Dishonest business practices
• Creating repeated customer issues
• Publicly making false, defamatory, or intentionally misleading statements about Retail Therapy AZ
• Conduct that damages the Company’s goodwill or community
Nothing in this Agreement prohibits truthful statements or rights protected by law.
Retail Therapy AZ reserves the right to suspend or terminate Vendor participation if Vendor conduct materially conflicts with Company standards.
MARKETING
Vendor grants Retail Therapy AZ permission to use:
• Business name
• Logos
• Product photos
• Listing descriptions
• Social media content
for advertising, website content, promotions, email marketing, and other business purposes without additional compensation.
Retail Therapy AZ markets the marketplace as a whole.
Retail Therapy AZ does not guarantee:
• Sales
• Website traffic
• Product visibility
• Customer engagement
• Profitability
• Marketing exposure
INTELLECTUAL PROPERTY
Vendor warrants ownership or legal rights to all uploaded content.
Vendor agrees not to upload counterfeit or infringing materials.
Vendor agrees to indemnify Retail Therapy AZ for intellectual property claims.
TAXES & LEGAL COMPLIANCE
Vendor is solely responsible for:
• Taxes
• Licenses
• Product compliance
• Business compliance
• Legal obligations
ACCOUNT SECURITY
Vendor is responsible for maintaining secure login credentials.
Retail Therapy AZ is not responsible for unauthorized access caused by Vendor negligence.
DATA RESPONSIBILITY
Vendor is responsible for maintaining backups of listings, pricing, inventory records, photographs, and business information.
Retail Therapy AZ is not responsible for restoring lost content.
PLATFORM AVAILABILITY
Retail Therapy AZ does not guarantee:
• Website uptime
• Continuous availability
• Sales
• Traffic
• Search rankings
• Visibility
• Profitability
The marketplace is provided “AS IS” and “AS AVAILABLE.”
PAYOUTS
Vendor payouts are processed through the Vendor’s marketplace payment processor.
Retail Therapy AZ does not issue payouts.
Vendor is responsible for maintaining accurate banking information.
Retail Therapy AZ is not responsible for delayed deposits, banking errors, processor interruptions, or payout failures.
Vendor Payouts: Vendor payouts will be processed only after an order has been fulfilled, shipment has been completed, and a valid tracking number has been provided and verified through the Vendor Portal. Once these requirements have been met, payouts will be issued through PayPal. Vendors are responsible for maintaining an active PayPal account and ensuring all payment information is accurate and up to date. Retail Therapy AZ is not responsible for delays resulting from inaccurate or incomplete payment information provided by the Vendor.
Payment Processor: Retail Therapy AZ reserves the right to change its payment processor or payout method at any time. Vendors will be provided reasonable notice of any such changes, and continued participation in the marketplace constitutes acceptance of the updated payout method.
FORCE MAJEURE
Retail Therapy AZ shall not be liable for delays or interruptions caused by circumstances beyond its reasonable control, including natural disasters, internet outages, cyberattacks, government actions, power failures, labor disputes, pandemics, or third-party service interruptions.
TERMINATION
Retail Therapy AZ may suspend or terminate Vendor participation at any time for violations of this Agreement or Company standards.
Outstanding balances remain due after termination.
LIMITATION OF LIABILITY
Retail Therapy AZ shall not be liable for:
• Lost profits
• Lost sales
• Customer disputes
• Shipping issues
• Website interruptions
• Data loss
• Security breaches
• Vendor operational failures
• Third-party service interruptions
Participation is at Vendor’s own business risk.
INDEMNIFICATION
Vendor agrees to defend, indemnify, and hold harmless Retail Therapy AZ, its owners, employees, affiliates, and representatives from claims arising from:
• Vendor products
• Vendor conduct
• Customer disputes
• Shipping issues
• Product liability
• Intellectual property claims
• Violations of law
• Breach of this Agreement
DISCLAIMER OF WARRANTIES
The Retail Therapy AZ marketplace is provided “AS IS” and “AS AVAILABLE.”
Retail Therapy AZ makes no warranties regarding uninterrupted service, merchantability, fitness for a particular purpose, website functionality, search visibility, customer traffic, or sales performance.
GOVERNING LAW
This Agreement shall be governed by the laws of the State of Arizona.
SEVERABILITY
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
ELECTRONIC ACCEPTANCE
Vendor agrees that completing registration, checking an acceptance box, or otherwise electronically accepting this Agreement constitutes a legally binding electronic signature.
AGREEMENT MODIFICATIONS
Retail Therapy AZ reserves the right to modify this Agreement, marketplace policies, operational procedures, membership pricing, or platform standards at any time. Material changes will generally become effective after thirty (30) days’ notice unless immediate changes are required for legal or security reasons.
Continued participation after the effective date constitutes acceptance of the updated Agreement.
ENTIRE AGREEMENT
This Agreement constitutes the complete understanding between Retail Therapy AZ and Vendor regarding participation in the Retail Therapy AZ online marketplace and supersedes all prior discussions, representations, or agreements.
By participating in the Retail Therapy AZ online marketplace, Vendor acknowledges that they have read, understood, and agreed to all terms of this Agreement.
