RETAIL THERAPY AZ
E-COMMERCE MARKETPLACE AGREEMENT
This E-Commerce Marketplace Agreement (“Agreement”) is entered into between Retail Therapy AZ Boutique LLC (“Retail Therapy AZ,” “Company,” “we,” or “our”) and the participating business listed in the vendor portal registration (“Vendor,” “Seller,” or “Member”).
By registering for and participating in the Retail Therapy AZ online marketplace platform, Vendor agrees to all terms and conditions outlined below.
- PLATFORM PURPOSE
Retail Therapy AZ operates an online marketplace platform that allows independent businesses to list and sell products directly to customers through the Retail Therapy AZ website.
Retail Therapy AZ provides the platform, visibility, and marketing opportunities for Vendors. Vendors are fully responsible for operating and managing their own online business activity through the platform.
Participation in the Retail Therapy AZ online marketplace is not limited to businesses currently operating inside a Retail Therapy AZ storefront location. Businesses may participate exclusively in the online marketplace platform upon approval by Retail Therapy AZ.
- INDEPENDENT BUSINESS STATUS
Vendor understands and agrees that they are operating as an independent business and are not an employee, contractor, partner, agent, or representative of Retail Therapy AZ.
Vendor is solely responsible for:
• Uploading and maintaining inventory
• Product descriptions and pricing
• Professional product photography
• Inventory accuracy
• Shipping and fulfillment
• Customer service and communication
• Sales tax reporting and payment
• Compliance with all local, state, and federal laws
• Product safety and legality
• Refunds, exchanges, and disputes
Retail Therapy AZ does not manage or oversee the day-to-day operational components of Vendor inventory or sales activity.
- MEMBERSHIP FEES
Vendor agrees to the following fees:
• One-time activation fee of $25 due upon signup
• Monthly membership fee of $25 plus any applicable taxes and fees due on the 5th of each month
Membership fees are non-refundable.
If payment is not received by the due date:
• Vendor account may be disabled immediately
• Listings may be removed from the platform
• Access to the marketplace may be suspended until payment is received
If an account is disabled due to nonpayment and Vendor wishes to reactivate their account, a new activation fee will be required.
Vendor may cancel participation at any time through their online portal. No prorated refunds will be issued for cancellations.
- COMMISSION STRUCTURE
Retail Therapy AZ operates this platform as a flat-rate membership marketplace.
Retail Therapy AZ does not take commission on Vendor sales.
Vendor is fully responsible for:
• Shipping costs
• Packaging materials
• Shipping labels
• Fulfillment expenses
• Payment processing fees associated with their selected payment methods
• Any additional operational expenses related to their business
Vendor may choose their own shipping pricing structure for customers.
- INVENTORY & LISTINGS
Vendor is solely responsible for uploading and maintaining their own inventory listings.
All inventory uploaded to the marketplace must:
• Be accurate and truthful
• Be currently available for purchase
• Include professional-quality photographs
• Include accurate product descriptions
• Include accurate pricing and shipping timelines
• Align with Retail Therapy AZ brand and community standards
Retail Therapy AZ does not allow listings containing:
• Excessive political messaging or content
• Excessive vulgar or offensive language
• Excessive sexual references or explicit content
• Drug-related references or paraphernalia
• Extreme violence references
• Hate speech, discrimination, or offensive material
• Any content Retail Therapy AZ determines inappropriate for its customer community
Retail Therapy AZ reserves the right, in its sole discretion, to remove listings, products, imagery, or content that do not uphold Company standards and culture.
Retail Therapy AZ also reserves the right to immediately suspend or deactivate Vendor accounts for violations of these standards. No refunds will be issued for account removals related to policy or standards violations.
Retail Therapy AZ reserves the right to remove listings that:
• Are misleading or inaccurate
• Contain poor-quality imagery
• Do not align with Retail Therapy AZ brand standards
• Violate laws or regulations
• Include offensive, inappropriate, unsafe, counterfeit, or prohibited products
Inventory listed online is separate from in-store inventory management unless otherwise managed directly by Vendor.
- SHIPPING & FULFILLMENT
Vendor is solely responsible for all shipping and fulfillment obligations.
Retail Therapy AZ will not be responsible for pulling inventory from physical store locations in order to complete online marketplace orders. Coordination, inventory management, fulfillment, packaging, and shipping are solely the responsibility of the Vendor.
Vendor agrees to:
• Ship orders within the processing timeframe stated on their listings
• Provide tracking information when applicable
• Properly package products to avoid damage
• Communicate professionally with customers regarding shipping updates or delays
Retail Therapy AZ is not responsible for:
• Shipping delays
• Lost packages
• Carrier issues
• Damaged shipments
• Incorrect shipping addresses entered by customers
• Fulfillment errors by Vendor
• Inventory shortages
• Failure by Vendor to fulfill online orders from store inventory
Failure to ship products within promised timeframes may result in account suspension or removal.
- CUSTOMER SERVICE STANDARDS
Vendor agrees to maintain exceptional customer service standards while operating on the Retail Therapy AZ platform.
Vendor must:
• Respond to customer inquiries in a timely and professional manner
• Resolve disputes respectfully and professionally
• Represent the Retail Therapy AZ brand positively
• Maintain ethical and professional business practices
If Retail Therapy AZ receives customer complaints that it determines, in its sole discretion, to be valid, Retail Therapy AZ reserves the right to:
• Remove listings
• Suspend Vendor privileges
• Disable Vendor accounts immediately
• Permanently terminate Vendor participation
No refunds will be issued for removals related to customer service violations or policy violations.
- RETURNS, REFUNDS & DISPUTES
Vendor is solely responsible for handling:
• Returns
• Exchanges
• Refund requests
• Customer disputes
• Chargebacks
Vendor must clearly communicate their return and refund policies within their listings.
Retail Therapy AZ reserves the right to require Vendors to issue refunds when necessary to protect customer experience and platform reputation.
Vendor agrees to remain financially responsible for all disputes, chargebacks, refunds, and related fees associated with their sales activity.
- BRAND STANDARDS & COMMUNITY EXPECTATIONS
Vendor agrees to operate professionally and uphold the standards, culture, and reputation of Retail Therapy AZ.
Retail Therapy AZ reserves the right to remove any Vendor that:
• Engages in harassment or abusive behavior
• Creates repeated customer issues
• Damages the Retail Therapy AZ reputation
• Publicly disparages the Company
• Operates dishonestly or unethically
• Violates community standards
Retail Therapy AZ maintains sole discretion regarding whether Vendor behavior aligns with Company standards.
- MARKETING & PROMOTIONAL RIGHTS
Vendor grants Retail Therapy AZ permission to use:
• Business name
• Logos
• Product photographs
• Listing descriptions
• Social media content related to listed products
for marketing, advertising, promotional materials, social media, website features, and related business purposes without additional compensation.
Retail Therapy AZ may provide signage or marketing materials promoting Vendor participation in the online marketplace.
- MARKETING & PLATFORM EXPOSURE
Retail Therapy AZ may market and promote the online marketplace platform as a whole through social media, advertising, email marketing, events, website features, and other promotional efforts.
Retail Therapy AZ is not responsible for individually marketing specific Vendors, products, or listings unless otherwise agreed upon in writing.
Vendor understands and agrees that Retail Therapy AZ cannot guarantee:
• Sales volume
• Product traction
• Customer engagement
• Website traffic
• Product visibility
• Social media exposure
• Profitability or business success
Vendor acknowledges that sales performance is dependent on many factors including product demand, pricing, photography quality, branding, customer service, market trends, and Vendor participation.
Participation in the Retail Therapy AZ online marketplace does not guarantee financial results or a specific level of exposure.
- INTELLECTUAL PROPERTY
Vendor represents and warrants that they own or have legal rights to all:
• Product designs
• Images
• Logos
• Branding
• Written descriptions
• Intellectual property uploaded to the platform
Vendor agrees not to upload counterfeit, copied, trademark-infringing, or unauthorized content.
Vendor agrees to indemnify and hold harmless Retail Therapy AZ from any claims related to intellectual property infringement.
- TAXES & LEGAL COMPLIANCE
Vendor is solely responsible for:
• Collecting and reporting taxes
• Maintaining business licenses
• Product compliance
• Legal compliance with all applicable laws and regulations
Retail Therapy AZ is not responsible for Vendor tax reporting obligations or legal compliance.
- ACCOUNT SECURITY
Vendor is responsible for maintaining secure login credentials and account access.
Retail Therapy AZ is not responsible for unauthorized access resulting from Vendor negligence or account sharing.
- PLATFORM AVAILABILITY
Retail Therapy AZ does not guarantee:
• Sales volume
• Website traffic
• Search visibility
• Marketing exposure
• Profitability
• Continuous website uptime
Vendor understands that participation on the platform does not guarantee financial success.
- PAYOUTS & PAYMENT PROCESSING
Vendor understands and agrees that all customer payments and Vendor payouts are processed through the Vendor’s own direct deposit and payment processing settings within their marketplace portal.
Retail Therapy AZ does not independently issue payouts, direct deposits, or manual payments for online marketplace sales.
Vendor is solely responsible for:
• Maintaining accurate banking and payout information
• Managing their direct deposit settings
• Monitoring payment activity
• Addressing payment processing issues through the applicable payment processor or portal support system
Retail Therapy AZ is not responsible for:
• Delayed payouts
• Banking errors
• Incorrect account information submitted by Vendor
• Payment processor interruptions
• Failed deposits
• Payment disputes related to Vendor payout settings
Vendor acknowledges that payout timing may vary depending on the payment processor and financial institution associated with their portal account.
- TERMINATION
Retail Therapy AZ reserves the right to suspend or terminate Vendor participation at any time, with or without notice, for violations of this Agreement or behavior inconsistent with Company standards.
Vendor may voluntarily cancel participation through their portal at any time.
Outstanding balances remain due upon termination or cancellation.
- LIMITATION OF LIABILITY
Retail Therapy AZ shall not be liable for:
• Lost profits
• Lost sales
• Shipping issues
• Customer disputes
• Data loss
• Website interruptions
• Security breaches
• Inventory errors
• Vendor operational failures
• Third-party service interruptions
Vendor agrees participation is at their own business risk.
- INDEMNIFICATION
Vendor agrees to defend, indemnify, and hold harmless Retail Therapy AZ, its owners, employees, affiliates, and representatives from any claims, damages, liabilities, losses, or expenses arising from:
• Vendor products
• Vendor conduct
• Customer disputes
• Shipping issues
• Copyright or trademark claims
• Product liability claims
• Violations of law
• Breach of this Agreement
- GOVERNING LAW
This Agreement shall be governed by and interpreted under the laws of the State of Arizona.
- AGREEMENT MODIFICATIONS
Retail Therapy AZ reserves the right to modify this Agreement, marketplace policies, operational procedures, membership fees, or platform standards at any time. Continued participation on the platform constitutes acceptance of updated terms.
- ENTIRE AGREEMENT
This Agreement constitutes the full understanding between Retail Therapy AZ and Vendor regarding participation in the online marketplace platform and supersedes any prior discussions or representations.
By participating in the Retail Therapy AZ online marketplace platform, Vendor acknowledges that they have read, understood, and agreed to all terms outlined in this Agreement.
